Holdings and the 10% cap
Evolution held 1,906,627 of its own shares on 16 October, out of 183,058,121 shares in the company, according to the notice. That is about 1.04% of the total. The programme caps holdings at 10% of shares, or 18,305,812, which leaves room for 16,399,185 more shares on those figures.
The company has acquired 18,075,119 shares since 19 May. It cancelled 16,168,492 of them in September, covering purchases made from 19 May to 21 September, the notice says. The share count has fallen 8.1% since the board launched the programme, when its 18 May resolution recorded 199,226,613 shares outstanding.
How Evolution’s programme works
Evolution’s board resolved on 18 May 2026 to buy back shares worth up to €2 billion, using an authorisation from the annual general meeting of 24 April. Purchases can continue until the full amount is used or until further notice, and can be made before the 2027 annual general meeting, according to the resolution. The stated purpose is to reduce share capital and create added shareholder value. TGE covered the launch of the €2bn programme in May.
An investment firm or credit institution appointed by Evolution decides when to buy, without input from the company. The notice names Citibank as the executing bank and says the trades follow the safe harbour rules of the EU Market Abuse Regulation (No 596/2014).
The prices paid from 12 to 16 October compare with the SEK 695 a share that Candle Lake Limited, a vehicle owned by Kenneth Dart, set as the price of its mandatory offer for Evolution in August.
Next steps
Evolution publishes its interim report for January to September on 23 October 2026, according to its financial calendar. In the January to June report the company recorded a 1.4% fall in first-half revenue. Purchases under the current resolution can run until the 2027 annual general meeting, which the calendar sets for 23 April 2027.
